  • “Products” refers to laundry detergents, dishwasher detergents, cleaning products, fragrances, and related items we manufacture and supply.

2. Use of Website

  • All content on this website is owned by Flavor Souces or its licensors and protected by copyright and trademark laws.

3. Orders, Quotations and Contracts

  • All quotations are valid for 30 days unless otherwise stated.
  • A binding contract is formed only when we issue a written order confirmation or proforma invoice.
  • All orders are subject to product availability and our final acceptance.
  • Prices are quoted in USD or as agreed and do not include taxes, duties, shipping, or insurance unless explicitly stated.

4. Payment Terms

  • Standard payment terms are 30% deposit and 70% balance before shipment (T/T), or as mutually agreed in writing.
  • Late payments may incur interest at 1.5% per month.
  • We reserve the right to suspend production or delivery until full payment is received.

5. Delivery and Shipping

  • Delivery times are estimates only and not guaranteed.
  • Risk of loss or damage passes to you upon shipment (FOB Dongguan or as agreed).
  • You are responsible for all import duties, taxes, and customs clearance in your country.

6. Product Warranty and Returns

  • We warrant that products will conform to the agreed specifications at the time of shipment.
  • Claims for defects must be made in writing within 14 days of receipt.
  • We do not accept returns for products made to custom specifications (including custom fragrance) unless the product is proven defective due to our manufacturing fault.
  • Our total liability shall not exceed the value of the specific order in question.

7. Custom Fragrance Development

  • Custom fragrance development is a specialized service. Once development begins and samples are approved, the project is non-cancellable.
  • All custom formulas and intellectual property developed for you remain our property unless otherwise agreed in a separate written contract.

8. Intellectual Property

  • All trademarks, logos, product designs, and fragrance formulas belong to Flavor Souces.
  • You may not copy, modify, or use our branding without prior written permission.

9. Limitation of Liability

  • To the maximum extent permitted by law, Flavor Souces shall not be liable for any indirect, incidental, consequential, or punitive damages.
  • Our maximum liability shall never exceed the total amount paid by you for the specific products involved.

10. Privacy

  • Your personal and business information is handled according to our Privacy Policy, which is incorporated into these Terms.

11. Force Majeure

  • We are not liable for delays or failure to perform due to events beyond our reasonable control (including pandemics, natural disasters, war, strikes, or government restrictions).

12. Governing Law and Dispute Resolution

  • These Terms shall be governed by the laws of the People’s Republic of China.
  • Any disputes shall first be resolved through friendly negotiation. If unresolved, disputes shall be submitted to the courts of Dongguan, Guangdong Province, China.

  • We reserve the right to update these Terms at any time. The “Last Updated” date will be revised accordingly.
  • Continued use of our website or services after changes constitutes your acceptance of the new Terms.
